CONSTITUTION OF THE CLAY COUNTY AMATEUR RADIO SOCIETY
PREAMBLE:
We the members of the the Clay County Amateur Radio Society, in order
to form an organization dedicated to the pursuit of the amateur radio
service in Clay County and the surrounding area, hereby adopt this
constitution as our governing law. Our purpose as an organization
shall be to provide a foundation that encourages and promotes the
exchange of information and ideas pertaining to amateur radio for the
benefit of our members and the community at large. We shall pursue
programs and activities dedicated to advancing the knowledge, interest,
and welfare of amateur radio in Clay County and we shall also offer our
assistance and service to the community in times of emergency.
MEMBERSHIP: ARTICLE I
Section 1. - All persons interested in amateur radio shall be eligible
for membership. Full membership is open only to licensed amateur radio
operators. Associate membership is open all other interested persons.
Full members enjoy all club privileges including the right to hold
office and vote for officers. Applications for membership should be
submitted at regular meetings.
OFFICERS: ARTICLE II
Section 1. - The officers of this club shall be: President,
Vice-President, Secretary-Treasurer.
Section 2. - The officers of this club shall be elected for a term of
one year by ballot of the members present. The elections shall be held
during the March meeting provided there be a quorum of members present
else the election is moved to the next monthly meeting and the incumbent
officer terms are extended accordingly. The newly elected officers
shall be installed at the next scheduled meeting following the election.
If there is but one nominee for an office the election may be by voice
vote otherwise the election is by secret ballot with votes tabulated by
the Secretary-Treasurer and open to inspection of all present.
Section 3. - Officer vacancies occurring between annual elections
must be filled by holding a special election at the next monthly
meeting. Rules for the special election are the same as those specified
in Section 2. above with the exception that the replacement officer is
installed immediately.
Section 4. - Officers and other elected officials as authorized in
the By-Laws may be removed by a three-fourths vote of the membership.
The vacancy shall be filled under the rules of Section 3. above.
Section 5. - No officer shall be eligible to the same office for more
than two consecutive terms.
Section 6. - Nominations for office shall be made from the floor of
the election meeting. The nominee must either accept or refuse the
nomination at that time.
DUTIES OF OFFICERS: ARTICLE III
Section 1. - The President shall preside at and conduct the meetings
of this club in accordance to the rules adopted. He/she shall enforce
due observance of the Constitution and By-Laws, decide all questions of
order, sign all official documents that are adopted by the club, and
perform all customary duties pertaining to the office of President.
Section 2. - The Vice-President shall assume all the duties of the
President in his/her absence.
Section 3. - The Secretary-Treasurer shall keep a record of the
proceedings of all meetings of the club and executive committee, keep a
roll of members, submit applications for membership, carry on all
official correspondence, read communications at each meeting, and see
that written meeting notices are mailed to each member. He/she shall
receive and receipt for all monies paid to the club and keep an accurate
account of all monies received and expended. He/she shall submit an
itemized statement of disbursements and receipts. He/she shall at the
expiration of his/her term of office turn over all possessions and
belonging to the club and relinquish all privileges of the office to
his/her successor.
MEETINGS: ARTICLE IV
Section 1. - The By-Laws shall provide for regular and special
meetings. At meetings, a minimum of one-third of the membership shall
constitute a quorum for the transaction of business.
DUES: ARTICLE V
Section 1. - The club, by majority vote of those present at any
regular meeting, may levy upon the general membership such dues
necessary for the business of the organization within its objects as set
forth in the preamble and specified by the By-Laws. Non-payment of such
dues or assessments shall be cause for expulsion from the club within
the discretion of the membership and as specified by the By-Laws.
EXECUTIVE COMMITTEE: ARTICLE VI
Section 1. - The executive committee shall consist of the officers of
the club.
Section 2. - The duties of the executive committee shall be:
(a.) To transact necessary business in the interval between club
meetings which cannot be left until the next meeting.
(b.) To authorize use of general funds for amounts less than
$100.00 to accomplish the club's objectives.
(c.) To transact such other business as shall be referred to it
by the club.
MEMBERSHIP ASSISTANCE ARTICLE VII
Section 1. - This club, through designated members will provide
technical assistance to members concerning equipment design and
operation in order to assure interference free operation to all radio
services, uniform operating practices, and general public relations.
CONSTITUTIONAL AMENDMENTS ARTICLE VIII
Section 1. - This constitution and its By-Laws may be amended by a
two-thirds vote of the total membership. Proposals for amendments shall
be submitted in writing at a regular meeting, provided all members have
been notified by mail of the intent to amend the constitution and/or
By-Laws at said meeting.

This constitution is hereby ratified by the charter membership by
signature on this the twentieth day of April, nineteen hundred and
ninety five.

BY-LAWS OF THE CLAY COUNTY AMATEUR RADIO SOCIETY
1. SECRETARY-TREASURER: It shall be the duty of the Secretary-Treasurer
to keep the constitution and By-Laws of the club and have same with him/
her at every meeting. He/She shall cause all amendments, changes, and
additions to be noted thereon and shall permit the same to be consulted
by members upon request.
2. MEETINGS: Regular meetings shall be held on the third Thursday of
each calender month at such place as the President shall order. Special
meetings may be called by the President at his discretion. Notices of
special meetings shall be sent to members concerned. These notices
shall outline the business to be transacted at the special meeting and
must sent in such order that members whose presence is requested at the
meetings have at least 24 hours to prepare. Notices of special meetings
may be sent by mail, telephone, or amateur radio.
3. DUES: A yearly assessment of $20.00 per member payable at the
January club meeting is hereby assessed in accordance with the
provisions of ARTICLE V of the constitution for the purpose of providing
funds for current expenses. Dues can be pro-rated on a quarterly basis
for first time members or for reinstated members who have been inactive
for more than one calender year. Sustained members who fail to pay their
dues at the January meeting are NOT eligible for the quarterly
pro-rating.
4. REPEATER TRUSTEE: The Repeater Trustee is a permanent position
accepted voluntarily by a member of the club. Acceptance and
appointment of a volunteer as Repeater Trustee is indicated by a
majority vote at a regular club meeting. The Repeater Trustee shall be
responsible for the operation and maintenance of the club repeater
he/she has volunteered to oversee. If the repeater requires
preventative or corrective maintenance, the trustee is authorized to
solicit repair services from other club members if he/she is not
qualified, able, or does not have the equipment to perform same. If
repair services cannot be obtained from club membership, the trustee is
authorized to procure external services provided he advises the club or
the executive committee of his/her intent to procure same and the
estimated cost in advance. The call sign of the repeater trustee will
be the call sign of the repeater for which he/she has accepted
responsibility. The trustee is responsible for all correspondence with
the FCC and club recognized coordinating agencies. The Repeater Trustee
will monitor the repeater to insure repeater users adhere to FCC
regulations. The trustee is authorized to deactivate the repeater
remotely to insure compliance with FCC regulations or in the case of
malfunction. The trustee may, at his discretion, authorize another club
member to operate the repeater in his absence. |
